Website Use

Use the site lawfully and responsibly

Do not interfere with the website, misuse forms, attempt unauthorized access or use our content in a way that violates applicable rights or law.

Service Inquiries

A form submission is not a client engagement

Contacting us, requesting an audit or discussing a project does not by itself create a paid-services relationship or guarantee that we will accept the work.

Paid Projects

Project-specific documents control commercial terms

Approved proposals, statements of work, invoices or signed agreements may contain scope, fees, payment, intellectual-property and other terms specific to the engagement.

No Guarantees

Marketplace and business outcomes depend on many factors

We do not guarantee Amazon rankings, approval decisions, sales, revenue, ROAS, ACoS, traffic, conversion rates or other specific business outcomes.

01

Acceptance and Scope

These Terms & Conditions apply to your access to and use of the website located at 5starsecommerce.com and pages operated as part of that website.

By accessing or using the site, you acknowledge these Terms. If a feature, form, purchase process or other interaction presents separate terms for affirmative acceptance, those additional terms may also apply to that interaction.

If you do not agree with these Terms, you should not use the website. These website Terms are distinct from the commercial terms governing a paid client engagement.

02

Website Information Is General in Nature

The website describes services, capabilities, approaches, educational information and examples of the types of work 5Stars Ecommerce may provide. Website content is intended for general business and informational purposes.

The site does not create a promise that a particular service, platform feature, marketplace program, strategy or deliverable is available for every brand, marketplace, category, account or project.

Amazon, Walmart, eBay, Shopify, WordPress and other third-party systems can change their features, eligibility requirements, policies, fees, interfaces and technical requirements. Website content may therefore need to be updated over time.

No professional legal, tax or financial advice

Website content about ecommerce operations, platform requirements or business practices is not a substitute for legal, accounting, tax, investment or other licensed professional advice.

03

Contact Forms, Audit Requests and Project Inquiries

Submitting a contact form, requesting a free audit, sending an email, calling us or discussing a possible project does not by itself create a client relationship, require us to accept the project or guarantee that a particular service will be offered.

An initial audit, diagnostic discussion or recommendation is based on the information reasonably available at the time. Marketplace data, account access, product information or commercial context that is missing or inaccurate can affect the usefulness of that review.

Do not send passwords, payment-card information or other unnecessary highly sensitive data through general inquiry forms. If secure access or additional information is needed for a project, the appropriate method can be agreed during the engagement.

04

Paid Services and Project-Specific Agreements

Paid client work may be governed by one or more project-specific documents, such as an approved proposal, statement of work, order form, invoice terms or signed service agreement.

1 Signed or expressly accepted project agreement

Use the negotiated terms specifically agreed for the client engagement.

2 Approved scope / proposal / order

Use the approved scope for deliverables, assumptions, timing, fees and project boundaries.

3 These website Terms

These Terms continue to govern general website use where not replaced by a more specific agreement.

If a project-specific agreement conflicts with these website Terms on a matter directly covered by that agreement, the project-specific agreement should control for that paid engagement to the extent of the conflict.

Scope changes, additional deliverables, additional marketplaces, rush work or work outside the approved scope may require written approval and additional fees before the work proceeds.

05

Third-Party Marketplaces and Platforms

Many services described on this website involve systems owned or operated by independent third parties. 5Stars Ecommerce does not control those platforms and cannot guarantee their availability, approval decisions, ranking systems, advertising auctions, policy enforcement, catalog behavior or technical performance.

Amazon

Amazon controls Seller Central, Vendor Central, Amazon Ads, catalog systems, Brand Registry and marketplace policies.

Walmart & eBay

Each marketplace controls its own seller eligibility, listing rules, advertising systems, fulfillment programs and enforcement.

Shopify & WordPress

Store and website behavior can depend on hosting, themes, plugins, apps, third-party code, payment providers and platform updates.

A client remains responsible for complying with the third-party terms, policies and account requirements that apply to its business unless a written project agreement specifically assigns a particular compliance task to us.

06

User and Client Responsibilities

You are responsible for information, instructions, approvals and materials you provide to us or submit through the website.

For paid engagements, clients are generally responsible for providing accurate product facts, lawful claims, authorized account access, brand assets, approvals and other information reasonably needed to complete the approved work, except where the project agreement states otherwise.

You should review deliverables, listing data, advertising settings, creative assets, website content and other project outputs for factual accuracy and business approval before final publication when your review or approval is part of the agreed workflow.

07

Acceptable Use of the Website

Permitted
  • Browse public website pages for legitimate business or informational purposes.
  • Contact us about genuine service, partnership or business inquiries.
  • Share links to public pages without misrepresenting our relationship or endorsement.
Not Permitted
  • Attempt unauthorized access to website systems, accounts, servers or data.
  • Introduce malware, malicious scripts, automated abuse or disruptive traffic.
  • Use forms for spam, fraud, impersonation, harassment or unlawful activity.
  • Scrape, reproduce or exploit website content in violation of applicable rights or law.
  • Misrepresent affiliation with or endorsement by 5Stars Ecommerce.

We may restrict or block access where reasonably necessary to protect the website, users, clients, systems or legal rights.

08

Website Content and Intellectual Property

Unless otherwise indicated, the website's original text, layout, graphics, visual design, original illustrations, branding and other original content are owned by or licensed to 5Stars Ecommerce and may be protected by copyright, trademark or other intellectual-property laws.

You may view public site content for your own lawful informational or business-evaluation purposes. No ownership interest is transferred to you merely because content is publicly accessible.

You may not reproduce, republish, sell, license, distribute or create misleading derivative uses of protected website content without permission except where applicable law independently permits the use.

Third-party names, logos and marks referenced on the website remain the property of their respective owners. Reference to a third-party platform does not by itself imply sponsorship, certification, partnership or endorsement.

09

Materials and Information You Provide

You retain ownership of materials you own and provide to us, subject to any rights granted in an applicable project agreement.

By submitting business information, files, product data, brand assets or other materials for an inquiry or project, you represent that you have the right or authority to provide them for the intended purpose.

For paid projects, any license needed for us to use client materials in order to perform the agreed services should be understood as limited to carrying out that project unless the applicable agreement provides otherwise.

10

Portfolio Examples, Testimonials and Performance Claims

Any portfolio work, testimonial, review, brand reference or performance result published on the website should be used only where we have a reasonable basis to present it accurately and have any permissions required for that use.

Examples of prior work do not promise that another client will receive the same outcome. Ecommerce results can vary based on product, category, competition, price, inventory, reviews, fulfillment, advertising spend, market conditions, execution and other factors.

Accuracy standard

Brand references, testimonials, case-study numbers and performance claims should be published only when we have a reasonable basis to present them accurately and any permissions required for that use.

12

Disclaimers and No Guaranteed Results

To the extent permitted by applicable law, the website is provided on an “as available” basis for general informational and business purposes. We do not warrant that every page will always be uninterrupted, error-free, current or suitable for every user's particular purpose.

5Stars Ecommerce does not guarantee:

  • Amazon, Google or other search rankings.
  • Marketplace or advertising-account approval.
  • Brand Registry, catalog, variation, reinstatement or policy outcomes.
  • Specific sales, revenue, profit, ACoS, TACoS, ROAS or conversion levels.
  • Specific traffic, lead or ecommerce growth.
  • That a third-party platform will maintain a particular feature, policy or interface.

Any estimates, strategies, audits, forecasts or examples are based on assumptions and information available at the time and should not be interpreted as guaranteed future results.

13

Limitation of Liability

To the maximum extent permitted by applicable law, 5Stars Ecommerce will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages arising solely from use of or inability to use the public website, including loss of profits, revenue, data or business opportunity, where such limitations are permitted.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

Liability relating to a paid client project may be addressed differently in the applicable project agreement, which should control for that engagement.

14

Indemnification

To the extent permitted by applicable law, you agree to be responsible for claims, losses or expenses resulting from your unlawful misuse of the website, your violation of these Terms, or materials you submit in violation of another person's rights.

Any indemnification obligations for paid client services should be governed by the applicable project agreement where one exists.

15

Website Availability, Security and Changes

We may modify, suspend, remove or update website content, features or pages as needed for maintenance, security, business changes or content updates.

We do not promise uninterrupted availability. Hosting problems, security events, software updates, third-party services and other technical conditions can affect site access.

16

Changes to These Terms

We may update these Terms to reflect changes in the website, services, business practices or legal requirements. The effective date shown at the top of the page will be updated when these Terms are revised.

Your continued use of the website after updated Terms are published is subject to the version then presented, except where applicable law requires a different form of notice or affirmative consent.

17

General Provisions

If a provision of these Terms is found unenforceable, the remaining provisions should continue to apply to the extent permitted by law.

A failure to enforce a provision on one occasion does not necessarily waive the right to enforce it later.

Project-specific agreements may contain their own governing-law, venue or dispute-resolution terms. Where no project-specific agreement applies, these website Terms are subject to the laws and legal requirements that apply to the particular matter.
